1. Scope of Services

Orbonex LTD provides professional digital services including but not limited to:

• •Branding & Creative Services
• •SEO & Digital Marketing
• •Funnel Development
• •Strategic Consulting

Scope of services will be defined in individual agreements or proposals.

2. Payment Terms

Unless otherwise agreed:

• •50% upfront payment required before project commencement
• •Remaining balance due before final delivery or launch
• •Retainer services billed monthly in advance
• •All payments are non-refundable once work has commenced
• •Failure to pay may result in suspension of services

3. Late Payments

Late payments may incur:

• •Suspension of services
• •Late fees
• •Withholding of deliverables

Ownership rights transfer only after full payment.

4. Intellectual Property

Upon full payment:

• •Client owns final deliverables
• •Orbonex retains portfolio usage rights

Until full payment is received:

• •All materials remain property of Orbonex LTD

5. Client Responsibilities

Client agrees to:

• •Provide accurate information
• •Deliver required materials on time
• •Approve milestones promptly
• •Maintain communication

Project timelines may extend due to client delays.

6. Limitation of Liability

To the maximum extent permitted by law:

Orbonex LTD shall not be liable for:

• •Indirect damages
• •Lost profits
• •Business interruption
• •Data loss
• •Third-party failures

Total liability shall not exceed the total fees paid for the specific project.

7. No Performance Guarantee

Marketing results, SEO rankings, and ad performance are influenced by external factors.

We do not guarantee specific revenue, rankings, or performance outcomes.

8. Third-Party Services

We are not responsible for:

• •Hosting downtime
• •Platform updates (WordPress, Shopify, etc.)
• •Payment processor issues
• •Third-party API failures

9. Termination

• •Either party may terminate with written notice.
• •Client remains responsible for payment of work completed.
• •Deposits are non-refundable.

10. Indemnification

Client agrees to indemnify and hold Orbonex harmless from claims arising from:

• •Content provided by client
• •Copyright infringement
• •Illegal business activity
• •Misuse of deliverables

11. Governing Law

These Terms shall be governed by the laws of the United States.

Any disputes shall be resolved through arbitration where applicable.

12. Force Majeure

We are not liable for delays caused by:
